Terms of Service
In addition to the payment obligations set forth below, you are obligated, as our client, to provide a reasonable level of cooperation in connection with this matter. This means that we expect you to promptly return telephone calls, respond truthfully to requests for information in a timely and forthright manner, provide documents and other materials as needed, and otherwise cooperate with our representation. You are expected to keep us informed of any material changes, including but not limited to, your contact information, the facts regarding your case, and any other information that could impact effective representation. We also expect you to preserve all documents in your possession, custody and control regarding this matter, whether in paper or electronic form, as well as to preserve all electronic devices in use at the relevant time, including cell phones, laptops, iPads, portable or flash drives and hard drives. If we feel that your lack of cooperation has rendered it unreasonably difficult for us to carry out our representation effectively, we may seek to withdraw as your counsel.
It is understood that Client may discharge Manifest Law and/or Co-Counsel at any time by written notice, effective when received by the terminated law firm or attorney. It is further understood that both Co-Counsel and Manifest Law may withdraw at any time as permitted under the applicable Rules of Professional Conduct, subject to court approval if required, including for Client’s failure to pay the fee or any portion thereof. In the event that Co-Counsel’s representation is effectively terminated by any party, Co-Counsel shall have no continuing obligation to advise Client on the Engagement and Manifest Law and Client shall have the right, but not the obligation, to continue the representation and to select a new Co-Counsel to replace the original Co-Counsel. In the event that Manifest Law’s representation is effectively terminated by either Manifest Law or Client, Manifest Law shall have no continuing obligation to advise Client on the Engagement and Co-Counsel and Client shall have the right, but not the obligation to continue the representation independently, provided that the termination of Manifest Law shall not alter the fee-sharing arrangement between Manifest Law and Co-Counsel. Client shall be responsible for the reasonable value of any services provided prior to termination. If the work required for this Engagement has been substantially or fully completed at the time the representation of Manifest Law and/or Co-Counsel ends, Client shall be responsible for the entire fee.
